Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vishnova Labs LLC, a Texas limited liability company ("Company," "we," "us," or "our"), governing your access to and use of BuildSect, including our website at buildsect.com, mobile applications, and all related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

1. Description of Service

1.1

BuildSect is a cloud-based construction project management platform developed and operated by Vishnova Labs LLC. The Service provides tools for residential and commercial construction professionals including but not limited to: project scheduling, budget tracking, change order management, client communication portals, subcontractor coordination, document storage, photo documentation, time tracking, warranty management, lead relationship management, and AI-powered project assistance.

1.2

The Service is designed for use by licensed contractors, general contractors, homebuilders, remodelers, subcontractors, vendors, and their clients. BuildSect does not provide construction services itself and is not responsible for the quality, safety, or legality of any construction work performed by users of the platform.

1.3

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.

2. Platform Only; No Professional or Contractual Relationship

BuildSect is a neutral software platform that facilitates communication, documentation, and workflow between its users (including builders, homeowners, subcontractors, and vendors). Vishnova Labs LLC is not a construction contractor, engineer, architect, lender, escrow agent, insurer, or legal or financial advisor, and is not a party to any contract, agreement, change order, purchase order, payment arrangement, or dispute between users of the Service. Any agreements entered into, documents signed, or payments made through or facilitated by the Service are solely between the users involved. You are solely responsible for ensuring that your contracts, payment terms, deposits, draw schedules, and business practices comply with all applicable federal, state, and local laws, including home-improvement contract, licensing, deposit, and lien laws. Vishnova Labs LLC disclaims all liability arising from agreements or disputes between users.

3. Account Registration and Security

3.1 Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@buildsect.com if you suspect any unauthorized access to your account. We are not liable for any losses arising from unauthorized use of your account.

3.4 Account Types

BuildSect offers multiple account roles including Builder, Homeowner, Subcontractor, and Vendor. Each role has different permissions and access levels within the platform. The primary subscription is held by the Builder account.

3.5 One Account Per User

You may not create multiple accounts for the same individual. We reserve the right to merge or terminate duplicate accounts.

4. Subscription, Billing, and Payment

4.1 Subscription Plans

BuildSect offers a subscription plan ("BuildSect Pro") at $199.00 per month. Pricing is subject to change with 30 days' advance notice to subscribers.

4.2 Free Trial

New Builder accounts are eligible for a 30-day free trial. During the trial period, you will not be charged. A valid payment method is required to start the trial. If you cancel before the trial period ends, you will not be charged.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

4.4 Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. Vishnova Labs LLC does not store your full payment card information.

4.5 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be suspended or downgraded. You will be notified via email of any payment failures.

4.6 Refund Policy

All subscription fees are non-refundable except as required by applicable law. We do not provide prorated refunds for cancellations mid-billing period. If you believe you were charged in error, contact support@buildsect.com within 30 days of the charge.

4.7 Taxes

You are responsible for all applicable taxes associated with your subscription. We will collect taxes where required by law.

4.8 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of any price increases via email to the address on file.

5. Acceptable Use Policy

5.1

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, state, local, or international laws or regulations, including but not limited to laws governing construction licensing, contractor regulations, data privacy, and consumer protection;
• Upload, transmit, or share any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• Use the Service to transmit unsolicited commercial communications (spam);
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, or computer systems connected to the Service;
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
• Use automated scripts, bots, scrapers, or other tools to access the Service without our written consent;
• Use the Service to store or transmit malicious code, viruses, or other harmful software;
• Remove or alter any proprietary notices, labels, or marks on the Service;
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent.

5.2

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including suspending or terminating accounts and reporting violations to law enforcement authorities.

6. Content and Data Ownership

6.1 Your Content

You retain full ownership of all data, files, documents, photos, and other content you upload, submit, or create through the Service ("User Content"). By uploading User Content, you grant Vishnova Labs LLC a limited, non-exclusive, royalty-free license to store, process, and display your content solely as necessary to provide the Service to you.

6.2 Content Responsibility

You are solely responsible for all User Content you submit. You represent and warrant that you have all rights necessary to upload such content and that doing so does not violate any third-party rights.

6.3 AI Features

BuildSect uses artificial intelligence features powered by Anthropic's Claude API. When you use AI features, relevant content you submit may be processed by Anthropic. We do not use your content to train AI models. Please review Anthropic's privacy policy for more information.

6.4 AI-Generated Content

The Service includes AI-powered features that generate suggestions, drafts, summaries, and other content ("AI Output"). AI Output is provided for informational and convenience purposes only. AI Output may be inaccurate, incomplete, or unsuitable for your specific circumstances, and does not constitute and must not be relied upon as professional engineering, architectural, structural, electrical, legal, financial, code-compliance, or permitting advice. You are solely responsible for independently reviewing, verifying, and validating all AI Output before relying on or acting upon it, including by consulting appropriately licensed professionals and your local building department or authority having jurisdiction. Vishnova Labs LLC makes no warranty regarding the accuracy, completeness, or fitness of AI Output and shall not be liable for any decisions made or actions taken in reliance on it.

6.5 Company Intellectual Property

The Service, including its design, features, code, logos, and trademarks, is owned by Vishnova Labs LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

7. Data Security and Privacy

7.1

We take data security seriously. BuildSect uses industry-standard security measures including SSL/TLS encryption, row-level database security, and secure authentication.

7.2

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.3

While we implement reasonable security measures, no system is completely secure. We cannot guarantee absolute security of your data and are not liable for unauthorized access resulting from circumstances beyond our reasonable control.

8. Third-Party Services

8.1

BuildSect integrates with third-party services including Stripe (payments), Supabase (database and storage), Resend (email), Anthropic (AI), Vercel (hosting), and Cloudflare (security). Your use of these services is subject to their respective terms and privacy policies.

8.2

We are not responsible for the availability, accuracy, or practices of any third-party services.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISHNOVA LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

9.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.4 Essential Basis

THE DISCLAIMERS AND LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND VISHNOVA LABS LLC.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vishnova Labs LLC and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

11.1 By You

You may cancel your subscription and terminate your account at any time through the billing settings in your dashboard or by contacting support@buildsect.com.

11.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in fraudulent or harmful conduct.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Gregg County, Texas, under the rules of the American Arbitration Association.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.

12.4 Exception

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Gregg County, Texas to prevent irreparable harm.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vishnova Labs LLC regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

13.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

13.5 Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control.

13.6 Updates to Terms

We may update these Terms at any time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance.
